The board has responsibilities to review, approve and monitor fundamental financial and business strategies and major corporate actions, assess major risks facing the company and consider ways to address those risks, select and oversee management and determine its composition and oversee the establishment and maintenance of processes and conditions to maintain the integrity of the company.
Independent directors will be key to company direction and will meet regularly.
Different committees will be set up to ensure an adequate framework within which management can thrive and all standing committees will operate pursuant to a writ-ten charter. The charters of all committees will be subject to periodic review and assessment by each committee.
